1. Ownership of Intellectual Property 

You, as the purchaser, acknowledge that all materials, content, and resources provided by  Something New Resources (hereafter referred to as “Materials”) are the sole and exclusive  intellectual property of Something New Resources. This includes but is not limited to copyrights,  trademarks, patents, trade secrets, derivative works, and any other form of intellectual property  (“Intellectual Property”). 

You agree that: 

• You do not have any ownership rights or claims to the Intellectual Property. • You will not contest or challenge Something New Resources' rights in the Intellectual  Property or the validity of this license granted for your use.

2. Limited License and Permitted Use 

You are granted a non-exclusive, non-transferable, limited license to access and use the Materials  for the purposes outlined in your participation in BOSS. This license is limited to your personal  business use, and only employees or owners of your business may access the Materials. 

You are prohibited from: 

• Reproducing, sharing, or distributing the Materials in any format, including online or  offline, to individuals or entities outside your business. 
• Editing, altering, or creating derivative works based on the Materials. • Sublicensing, selling, or transferring access to the Materials to any third parties. • Using the Materials for any purpose outside the scope of your engagement with BOSS. 

3. Confidentiality of Materials 

All Materials provided by Something New Resources are confidential and proprietary. You agree  to protect and maintain the confidentiality of the Materials. Sharing or distributing the content to  individuals or entities outside of your business, including friends, colleagues, or competitors, is  strictly prohibited and will result in immediate termination of your membership without refund. 

4. Disclaimer and Limitation of Liability

The Materials provided are for educational purposes only. We are not accountants or attorneys,  and the information shared should not be considered legal or financial advice. You are  encouraged to consult with your own tax or legal professionals regarding the applicability of the  strategies presented within the Materials. 

Please note: 

• BOSS and Something New Resources will not be held responsible for any outcomes,  business decisions, or results based on the use of the Materials. 
• You assume all responsibility for implementing strategies discussed within the program.  Member results may vary dependent on how they implement and follow through on  frameworks and educational materials provided within BOSS.  

5. Agreement to Adhere to Program Guidelines 

By enrolling in the BOSS program, you agree to: 

• Adhere to the rules, guidelines, and code of conduct set forth by the program. • Uphold the integrity of the program and respect the intellectual property and efforts of  Something New Resources. 
• Accept that violations of these Terms and Conditions, including but not limited to sharing  the Materials or breaching confidentiality, may result in termination of your membership  without a refund. 

6. Consequences of Breach 

Failure to adhere to these Terms and Conditions may result in: 

• Immediate removal from the program without refund. 
• Legal action to protect the intellectual property of Something New Resources, including  seeking damages or injunctive relief. 

7. Non-Solicitation Clause:

By enrolling in the Bridal Owner Success Solutions (BOSS) Program (the "Program"), you agree that you will not directly or indirectly solicit, recruit, or attempt to solicit or recruit, any employees, contractors, or consultants of the Program or its affiliates (including, but not limited to, employees or contractors of Something New, LLC) for employment, contracting, or other services related to your own business or any other bridal shop during your participation in the Program and for the length of time that employee is with Something New and its connected entities.

8. Name, Image, and Likeness Clause:

By participating in the Bridal Owner Success Solutions (BOSS) Program (the "Program"), you grant the Program and its affiliates the right to use your name, image, likeness, and any testimonials provided by you, in any format, for promotional, marketing, and educational purposes related to the Program. This grant of rights is non-exclusive, royalty-free, worldwide, and perpetual. If you wish to revoke this consent, you must do so in writing.

9. Earnings Disclaimer:

The Bridal Owner Success Solutions (BOSS) Program (the "Program") makes no guarantees or representations regarding your future earnings, financial performance, or business success. Any examples of income, profitability, or business outcomes shared during the Program are for illustrative purposes only and do not constitute promises or guarantees of results. Your success depends on various factors, including but not limited to, your individual efforts, business model, market conditions, and economic factors beyond the Program’s control. Participation in the Program is at your own risk.

Commitment to Independent Bridal Businesses
BOSS is exclusively for independent bridal shop owners. Members with aspirations to join or establish a national chain, franchise, or corporate brand are not eligible for participation. Our focus is on empowering small business owners to thrive.

Financial Commitment Agreement

By signing below, the undersigned (“Client”) acknowledges and agrees to the following terms regarding their financial obligation:
Commitment Term: The Client agrees to participate in and financially commit to the full duration of the one-year program as outlined in their agreement.
Non-Refundable Policy: All payments made toward the balance are strictly non-refundable, regardless of participation level, usage, or unforeseen circumstances.
Full Balance Obligation: The Client understands and agrees that they are responsible for fulfilling the total balance due for the program, in accordance with the agreed-upon terms, regardless of any change in circumstances.
No Exceptions to Payment Terms: The Client acknowledges that no exceptions, adjustments, or alterations to the payment plan will be made under any circumstances. The agreed payment schedule must be honored in full.
By entering into this agreement, the Client affirms their understanding of and commitment to these terms.

10. Acknowledgement 

By agreeing to these Terms and Conditions, you acknowledge that you: 

• Have read and fully understand the terms outlined above. 
• Agree to comply with these terms throughout your participation in BOSS. • Understand that violation of these terms may result in termination of your access to the  program without refund. 
• Agree that you are signing up for a 12-month commitment.
• Understand that you will have the opportunity to end your membership at the 1 year mark time of renewal

Authorized Representation & Confidentiality Obligations
By enrolling in Bridal Owner Success School (BOSS), the undersigned owner ("Member") acknowledges that they are entering this agreement on behalf of their bridal business ("Store"). The Member agrees that any employee, manager, stylist, or other individual granted access to BOSS materials, live or recorded sessions, proprietary content, or discussions by the Member shall be bound by the same confidentiality and ethical obligations outlined in this agreement.
The Member further agrees that they are responsible for ensuring that any such individuals comply with the BOSS Code of Conduct, confidentiality requirements, and ethical standards. Any violation of these terms by an employee or representative of the Store shall be considered a violation by the Member, and the Member may be subject to consequences, including but not limited to termination of BOSS membership without refund.
